1. Introduction and Acceptance
These Terms of Service ("Terms") govern access to and use of this website and any services made available by Block Legal ("Block Legal," "we," "us," or "our"). By accessing our website, submitting an enquiry, or engaging our services, you ("you," "your," or "Client") agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use our services.
2. Who We Are
Block Legal is a legal and regulatory advisory practice serving founders, investors, and technology companies across multiple jurisdictions. Block Legal operates internationally through a group of affiliated entities, each separately constituted and, where applicable, separately regulated under the laws and professional conduct rules of its home jurisdiction.
The specific Block Legal entity responsible for any given engagement, including its place of registration, applicable regulatory status, and professional conduct framework, will be clearly identified in the Engagement Letter issued at the time of formal engagement. References to "Block Legal" on this website refer to the group generally, and do not represent that a single entity is licensed or authorised to provide services in every jurisdiction referenced.
Where a matter requires legal advice qualified under the law of a specific jurisdiction, that advice is provided only by, or under the supervision of, personnel and entities appropriately licensed or authorised in that jurisdiction. Some affiliated entities provide compliance, regulatory advisory, or consultancy services and are not themselves licensed law firms in their jurisdiction of registration; this distinction will be made clear to you prior to any formal engagement.
Engagement of one Block Legal entity does not create a client relationship with any other entity within the group unless expressly agreed in writing.
3. Nature of Our Services
Block Legal provides legal advisory, regulatory compliance, and related consultancy services to founders, investors, and technology companies operating across Web3, artificial intelligence, fintech, SaaS, creator economy, deep technology, and related emerging-technology sectors.
Our services may include, depending on engagement scope: legal opinions, regulatory classification analysis, entity structuring advice, contract drafting and review, transactional support, and general advisory services.
No information provided on our website, in marketing materials, in publicly available content, or in preliminary correspondence constitutes legal advice. Legal advice is only provided pursuant to a specific, written engagement (an "Engagement Letter") between the relevant Block Legal entity and the Client, scoped to a specific matter.
4. Engagement of Services
Formal engagement of our services occurs only upon execution of a separate Engagement Letter or signed proposal setting out the scope of work, the specific contracting entity, applicable fees, and other terms specific to that engagement. These Terms apply in addition to, and not in substitution for, the terms of any Engagement Letter. In the event of conflict between these Terms and an Engagement Letter, the Engagement Letter prevails in respect of that engagement.
We reserve the right to decline any engagement at our sole discretion, including where a conflict of interest is identified, where the proposed engagement falls outside our expertise or jurisdictional authorisation, or where we are unable to verify the identity of the prospective client to our satisfaction.
5. Fees and Payment
Block Legal generally operates on a fixed-fee, engagement-based model rather than hourly billing. Specific fees, payment terms, and invoicing schedules are set out in the applicable Engagement Letter or proposal. Unless otherwise agreed in writing, invoices are payable within the period specified in the Engagement Letter, and late payment may result in suspension of services.
6. No Attorney-Client Relationship Through Website Use
Use of this website, submission of an enquiry form, or general correspondence with Block Legal does not create an attorney-client relationship, a solicitor-client relationship, or any equivalent professional relationship. Such a relationship arises only upon mutual execution of an Engagement Letter with the relevant Block Legal entity.
Do not send confidential or sensitive information through our website's general enquiry channels until a formal engagement has been established and an appropriate secure channel has been confirmed.
7. Jurisdictional Scope and Limitations
Block Legal entities are authorised to provide services only in respect of matters and jurisdictions for which the relevant entity, or its personnel, holds appropriate qualification, licensing, or authorisation. Where a matter requires advice on the law of a jurisdiction in which no Block Legal entity is qualified to advise, we will either decline to advise on that aspect, engage appropriately qualified local counsel on the Client's behalf (subject to separate agreement), or clearly disclose the limitation of our advice in writing.
References on our website or in our materials to jurisdictions, regulatory frameworks, global reach, or international capability describe our advisory and coordination capacity as a group, including through affiliated entities and local counsel relationships, and do not represent that any single Block Legal entity is independently licensed to practise law in every jurisdiction mentioned.
8. Intellectual Property
All content on our website, including text, graphics, logos, the Block Legal name and marks, and underlying design, is the property of Block Legal and/or its affiliated entities, or is used under licence, and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent, except for personal, non-commercial reference.
Work product delivered to a Client under a specific engagement (such as legal opinions, contracts, or memoranda) is governed by the intellectual property terms of the applicable Engagement Letter.
9. Confidentiality
We treat information shared by prospective and existing clients as confidential, subject to applicable professional conduct rules, legal obligations (including anti-money laundering and counter-terrorist financing reporting obligations), and the specific confidentiality terms of any Engagement Letter.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
The liability of any Block Legal entity arising out of or in connection with an engagement shall not exceed the fees paid by the Client for the specific engagement giving rise to the claim, except where such limitation is not permitted by law or where liability arises from fraud, wilful misconduct, or gross negligence.
No Block Legal entity shall be liable for indirect, consequential, special, or punitive damages, including loss of profits, loss of business opportunity, or reputational harm, arising from or in connection with our services.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under the law applicable to the relevant Block Legal entity, including liability for death or personal injury caused by negligence, or liability for fraud.
11. No Guarantee of Outcome
Legal and regulatory advice reflects our professional judgment based on information available and applicable law as at the date of advice. Laws, regulations, and their interpretation are subject to change, including with retrospective effect in some jurisdictions. We do not guarantee any particular outcome, regulatory determination, or result from reliance on our advice.
12. Third-Party Links and Content
Our website may contain links to third-party websites or reference third-party content for informational purposes. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party website or resource.
13. Governing Law and Jurisdiction
These Terms, and any matter arising from your general use of this website (excluding specific engagements governed by their own Engagement Letters), are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, save where mandatory local law provides otherwise.
Each specific engagement with a Block Legal entity is governed by the governing law and jurisdiction clause set out in the applicable Engagement Letter, which will reflect the law of the jurisdiction in which the relevant contracting entity is registered or authorised to operate.
14. Changes to These Terms
We may update these Terms from time to time. The version posted on our website at the time of your use governs that use. Material changes affecting an existing engagement will be communicated separately where relevant.
